Please read these Terms and Conditions carefully before using Aronix's services. By accessing or using our services, you agree to be legally bound by these terms.

01 Acceptance of Terms

These Terms and Conditions ("Terms," "Agreement") constitute a legally binding agreement between you ("Client," "User," or "you") and Aronix ("Company," "we," "us," or "our"), located at Shop 19, Future Commercial Hub, Kukatpally Main Road, Hyderabad, Telangana 500072, India.

By accessing our website at www.aronix.shop, engaging our services, signing a service agreement, or otherwise interacting with us, you confirm that you:

  • Are at least 18 years of age or the age of majority in your jurisdiction
  • Have the legal authority to enter into this Agreement on behalf of yourself or your organization
  • Have read, understood, and agree to be bound by these Terms
  • Agree to our Privacy Policy, which is incorporated by reference into these Terms

If you do not agree to all of these Terms, you must immediately discontinue use of our Services. Your continued use after any amendments to these Terms constitutes your acceptance of the modified Terms.

02 Services Description

Aronix provides a comprehensive range of technology and digital services, including but not limited to:

  • Web Development: Custom website design, development, and deployment for businesses of all sizes
  • Mobile Application Development: Native and cross-platform mobile apps for iOS and Android platforms
  • Digital Marketing Services: Search engine optimization (SEO), pay-per-click (PPC) advertising, social media marketing, content marketing, and email marketing campaigns
  • Cloud Solutions: Cloud infrastructure setup, migration, management, and optimization on AWS, Azure, and Google Cloud platforms
  • UI/UX Design: User interface and user experience design, wireframing, prototyping, and design systems
  • Cybersecurity Services: Security audits, vulnerability assessments, compliance consulting, and incident response
  • Software Consulting: Technology strategy, architecture design, and technical consulting services
  • Maintenance & Support: Ongoing technical support, updates, and maintenance for developed products

2.1 Service Modifications

Aronix reserves the right to modify, suspend, or discontinue any Service at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of Services, except as otherwise provided in a separate written agreement.

2.2 Third-Party Services

Some of our services may involve the use of third-party tools, platforms, or services. Your use of such third-party services is governed by their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or reliability of any third-party services.

03 Account Registration and Security

To access certain features of our Services, you may be required to register for an account. When registering, you agree to:

  • Provide accurate, current, and complete information as prompted by the registration form
  • Maintain and promptly update your account information to keep it accurate and complete
  • Maintain the security and confidentiality of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Immediately notify us of any unauthorized use of your account at info@aronix.shop
  • Not share your login credentials with any third party

We reserve the right to terminate or suspend your account at any time for violations of these Terms or for any other reason at our discretion, with or without prior notice.

04 Payment Terms and Billing

4.1 Fees and Pricing

All fees for our services are specified in the individual service agreements, proposals, or quotations provided to you. Prices are listed in Indian Rupees (INR) unless otherwise stated. All prices are exclusive of applicable taxes (GST, etc.) unless explicitly stated.

4.2 Payment Schedule

Unless otherwise agreed in writing, our standard payment terms are:

  • 50% advance payment required before project commencement
  • 25% upon milestone completion or mid-project delivery
  • 25% balance upon final delivery and project sign-off
  • For retainer or monthly services: full payment due within 7 days of invoice date

4.3 Late Payment

Invoices not paid within the agreed payment terms will attract a late payment interest of 2% per month on the outstanding amount. We reserve the right to suspend services in case of non-payment exceeding 30 days from the due date.

4.4 Refund Policy

Advance payments are non-refundable once work has commenced. Refund requests for services not yet started will be evaluated on a case-by-case basis. Any approved refunds will be processed within 14 business days to the original payment method.

05 Intellectual Property Rights

5.1 Ownership of Deliverables

Upon receipt of full payment for a project, and unless otherwise specified in a separate written agreement, Aronix assigns to the Client all rights, title, and interest in the final deliverables created specifically for the Client ("Work Product"), including any copyrights therein.

5.2 Aronix Retained Rights

Aronix retains ownership of all pre-existing intellectual property, tools, frameworks, libraries, methodologies, and know-how developed by Aronix prior to or independently of any Client project. The Client receives a limited, non-exclusive license to use such components as incorporated into the deliverables.

5.3 Client-Provided Materials

You represent and warrant that any materials, content, data, or information you provide to us for use in our services ("Client Materials") does not infringe upon any third-party intellectual property rights. You grant Aronix a limited license to use Client Materials solely for the purpose of providing the contracted services.

5.4 Portfolio Rights

Unless explicitly prohibited in writing, Aronix reserves the right to display completed work in our portfolio, case studies, and marketing materials. We will not disclose confidential business information in doing so.

06 User Conduct and Prohibited Activities

By using our Services, you agree not to:

  • Use our Services for any unlawful purpose or in violation of any regulations
  • Impersonate any person or entity or falsely represent your affiliation with any person or entity
  • Engage in any conduct that restricts or inhibits any other user's use and enjoyment of the Services
  • Attempt to gain unauthorized access to any portion of the Services or related systems
  • Transmit any viruses, malware, or other harmful code through our Services
  • Use any automated data collection methods, data mining, robots, or similar techniques
  • Reverse engineer, decompile, or disassemble any software provided by us
  • Use our Services to transmit unsolicited commercial communications ("spam")
  • Upload content that is defamatory, obscene, fraudulent, or violates any applicable law
  • Circumvent any security or authentication measures of our Services

Violation of these prohibited activities may result in immediate termination of your account and access to our Services, and may subject you to legal liability.

07 Confidentiality

Both parties acknowledge that in the course of engaging Aronix's services, each party may disclose confidential and proprietary information to the other. Both parties agree to:

  • Hold all Confidential Information in strict confidence
  • Not disclose Confidential Information to any third parties without prior written consent
  • Use Confidential Information solely for the purposes of the business relationship
  • Implement reasonable security measures to protect Confidential Information
  • Promptly notify the other party of any unauthorized disclosure

These confidentiality obligations shall survive for a period of 3 years after the termination of the service relationship. Confidential Information shall not include information that becomes publicly available through no fault of the receiving party.

08 Warranties and Disclaimers

8.1 Our Warranties

Aronix warrants that:

  • Services will be performed in a professional and workmanlike manner
  • We have the right to provide the services without infringing third-party rights
  • Deliverables will substantially conform to the agreed specifications

8.2 Disclaimer of Warranties

EXCEPT AS EXPRESSLY STATED ABOVE, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, ARONIX DISCLAIMS ALL WARRANTIES, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ARONIX DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

09 Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Aronix, its directors, employees, agents, or partners be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, goodwill, or other intangible losses
  • Damages resulting from your use or inability to use the Services
  • Unauthorized access to or alteration of your data
  • Third-party conduct or content

In no event shall Aronix's total liability to you exceed the amount paid by you to Aronix for the specific service giving rise to the claim in the three (3) months preceding the event giving rise to such liability.

10 Indemnification

You agree to indemnify, defend, and hold harmless Aronix and its officers, directors, employees, agents, licensors, suppliers, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms and Conditions
  • Your use of the Services in a manner not authorized by these Terms
  • Your violation of any third-party right, including intellectual property or privacy rights
  • Your violation of any applicable law or regulation
  • Any content or materials you provide to us
  • Any claim that your Client Materials caused damage to a third party

11 Termination

11.1 Termination by Client

You may terminate a service agreement with 30 days' written notice. Early termination fees may apply as specified in individual service contracts. You remain responsible for payment of all services rendered up to the termination date.

11.2 Termination by Aronix

We reserve the right to terminate or suspend your access to our Services immediately, without prior notice, if you:

  • Breach any provision of these Terms
  • Fail to make required payments
  • Engage in conduct that is harmful to other users, Aronix, or third parties
  • Violate applicable law or regulation

11.3 Effect of Termination

Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination shall continue in effect, including confidentiality, intellectual property, limitation of liability, and indemnification.

12 Dispute Resolution

12.1 Informal Resolution

Before initiating any formal dispute resolution process, both parties agree to attempt in good faith to resolve any dispute informally. The complaining party shall send written notice to the other party describing the nature and basis of the dispute. The parties shall negotiate in good faith for 30 days following receipt of such notice.

12.2 Arbitration

If the dispute is not resolved through informal negotiation, either party may elect to have the dispute resolved through binding arbitration conducted by the Indian Council of Arbitration (ICA) or such other mutually agreed arbitration body. The arbitration shall be conducted in Hyderabad, Telangana, India, and the proceedings shall be in English.

12.3 Class Action Waiver

You waive any right to bring or participate in class action lawsuits, class-wide arbitrations, private attorney-general actions, or any other consolidated proceedings against Aronix.

13 Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. The courts of Hyderabad, Telangana, India shall have exclusive jurisdiction to adjudicate any disputes arising out of or related to these Terms or use of the Services, subject to the arbitration provisions above.

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms will otherwise remain in full force and effect and enforceable.

By using Aronix's services, you acknowledge that you have read these Terms and Conditions, understand them, and agree to be bound by them. These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and Aronix.
